Terms of Service

These Terms of Service (“Terms”) govern your access to and use of MakerPulse (the “Service”), operated by Sosogu LLC (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

MakerPulse is a metrics dashboard that aggregates data from third-party services you connect (including Stripe, Apple App Store Connect, and Google Analytics) and presents it in a unified interface. The Service may also generate weekly summaries using artificial intelligence.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

2. Accounts

You must create an account to use the Service. You agree to:

• provide accurate and current information,
• keep your authentication credentials secure,
• be responsible for all activity that occurs under your account,
• promptly notify us of any unauthorized use.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You may not use the Service on behalf of any organization without authority to bind that organization to these Terms.

3. Plans, Billing, and Cancellation

3.1 Free plan

We offer a Free plan with limited features. No payment is required.

3.2 Paid plans

Paid plans (currently “Pro” at USD $19/month) are billed in advance on a recurring monthly basis. Payment is processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for recurring fees until you cancel.

3.3 Taxes

Prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or similar charges imposed by your jurisdiction.

3.4 Cancellation

You may cancel your paid subscription at any time from the billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that time.

3.5 Refunds

Except where required by law, fees are non-refundable. We may, at our sole discretion, issue refunds on a case-by-case basis.

3.6 Price changes

We may change our pricing. We will provide at least 30 days’ notice via email before any price increase takes effect for existing subscribers.

4. Your Data and Third-Party Connections

4.1 Your data

You retain all rights to data you submit, connect, or generate through the Service (“Your Data”). You grant us a limited license to process Your Data solely to provide the Service, including generating AI summaries.

4.2 Third-party services

The Service depends on third-party services (Stripe, Apple, Google, Anthropic, and others). When you connect a third-party service, you authorize us to access and process data from that service on your behalf, subject to that service’s own terms.

We are not responsible for the availability, accuracy, or behavior of third-party services. If a third-party service changes its API or terms, some features may be affected.

4.3 Accuracy

We do our best to present accurate data, but we do not warrant that metrics shown in the Service are free from error, delay, or inconsistency with source systems. Do not rely on the Service as your sole source of truth for financial reporting or regulatory compliance.

5. Acceptable Use

You agree not to:

• use the Service to violate any law or the rights of others,
• reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by applicable law,
• access the Service to build a competing product,
• interfere with or disrupt the Service, its servers, or networks,
• use the Service to process data you are not authorized to access,
• attempt to probe, scan, or test the vulnerability of the Service without our prior written consent,
• use automated means to access the Service beyond our documented APIs or in volumes that degrade the Service for other users.

We may suspend or terminate accounts that violate this section.

6. Intellectual Property

The Service, including all software, content, design, and trademarks, is owned by Sosogu LLC or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership to you.

You may provide feedback, suggestions, or ideas about the Service (“Feedback”). We may use Feedback for any purpose without obligation or compensation to you.

7. AI-Generated Content

The Service uses artificial intelligence (currently Anthropic’s Claude) to generate summaries, insights, and recommendations. AI-generated content:

• is produced automatically and may contain errors, inaccuracies, or misleading statements,
• is provided for informational purposes only and does not constitute financial, legal, or business advice,
• should be independently verified before you rely on it.

You are solely responsible for decisions you make based on AI-generated content.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected. We do not warrant the accuracy or completeness of any data, metric, or AI-generated output.

9. Limitation of Liability

To the maximum extent permitted by law, Sosogu LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Service.

Our total cumulative liability for all claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Sosogu LLC and its affiliates from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, Your Data, or your violation of these Terms.

11. Termination

You may terminate your account at any time by cancelling your subscription and, if desired, deleting your account from the settings page.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We will make reasonable efforts to give you advance notice when doing so for non-violation reasons.

Upon termination, your right to use the Service ends. We may delete Your Data after a reasonable retention period, as described in our Privacy Policy. Sections that by their nature should survive termination (including sections 6, 8, 9, 10, 12, and 13) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

If you are a consumer residing in a jurisdiction that grants you mandatory rights to bring a claim in your local courts or under local law, nothing in this section restricts those rights.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
